Terms & Conditions

Last updated: 15 September 2026

Draft notice. This is a drafted placeholder provided for your review. It is not legal advice and has not been reviewed by a lawyer. Please have a qualified New Zealand legal professional review and finalise this document before relying on it.

1. Acceptance of these Terms

These Terms and Conditions ("Terms") govern your access to and use of the SignLink platform, website, and related services (the "Services") operated by SignLink ("we", "us", or "our"). By creating an account, sending or signing a document, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

If you are using the Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and the terms "you" and "your" refer to that entity.

2. Your Account

To use most features of the Services you must register an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for safeguarding your password and for all activity that occurs under your account.

You must notify us immediately of any unauthorised use of your account or any other security breach. We will not be liable for any loss or damage arising from unauthorised use of your account.

3. Acceptable Use

You agree not to, and not to allow others to, use the Services to:

upload, send, or request signatures on documents that are unlawful, fraudulent, or that infringe the intellectual property or privacy rights of any third party;

impersonate any person or entity, or falsely represent your affiliation with a person or entity;

attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems or networks connected to the Services;

interfere with or disrupt the Services, servers, or networks, or circumvent any security or authentication measures; or

collect, harvest, or scrape personal data of other users from the Services.

We may suspend or terminate access if we reasonably believe you have violated these acceptable use requirements.

4. Electronic Signatures and Legal Validity

SignLink enables parties to sign documents electronically. Under New Zealand law, electronic signatures are generally given legal recognition by the Electronic Transactions Act 2002 and the Contract and Commercial Law Act 2017, provided that the parties have consented to the use of electronic signatures and the method used reliably identifies the signatory and indicates their intention.

You acknowledge that the legal validity and enforceability of an electronic signature may depend on the specific document, the jurisdiction governing the underlying transaction, and the consent of all parties. We provide the technical tools to collect signatures and generate an audit trail, but we do not provide legal advice. You are responsible for ensuring that electronic signatures obtained through the Services are legally sufficient for your intended purpose.

SignLink records metadata about each signing event, including signer identity, timestamp, IP address, and user agent, to support the integrity of the audit trail. This metadata is included in the audit certificate generated for completed documents.

5. Subscriptions and Billing

We offer paid subscription plans (Basic and Pro) billed on a monthly or annual basis, as well as a free tier with limited sends. Plan features and pricing are displayed on our Pricing page and may change from time to time.

Paid subscriptions are processed through Stripe, our payment service provider. By subscribing, you authorise us to charge the selected payment method for the recurring fees until you cancel. Annual plans are billed in advance for the full year; monthly plans are billed each month.

You can manage or cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

6. Free Tier and Trial Sends

New accounts receive a limited number of free "send to sign" sends. Once the free allowance is exhausted, a paid subscription is required to continue sending documents. Self-signing and signing documents you have been invited to sign remain available regardless of subscription status.

We reserve the right to modify the free allowance, including the number of sends and the features available, at any time.

7. Intellectual Property

The Services, including the software, design, text, graphics, and branding, are owned by SignLink and are protected by New Zealand and international intellectual property laws. These Terms do not grant you any right to use our trade names, trademarks, or logos.

You retain ownership of the documents you upload and the content you submit through the Services. By uploading content, you grant us a limited licence to process, store, and transmit that content solely as necessary to provide the Services to you.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all warranties, express or implied, relating to the Services, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that electronic signatures obtained through the Services will be legally valid in every jurisdiction or for every document type.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall SignLink be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Services, whether based on warranty, contract, tort, or any other legal theory.

Our total aggregate liability for any claim arising out of or related to the Services shall not exceed the amount you paid us in the twelve months preceding the claim, or, for free-tier users, NZD $100.

10. Termination

You may close your account at any time. We may suspend or terminate your access to the Services if you breach these Terms, if we reasonably believe you have engaged in fraudulent or unlawful activity, or if we discontinue the Services.

Upon termination, your right to use the Services ceases. We may retain documents and audit records as necessary to comply with legal obligations and as described in our Privacy Policy.

11. Governing Law and Disputes

These Terms are governed by the laws of New Zealand. Any dispute arising out of or related to these Terms or the Services shall be resolved in the courts of New Zealand, and you consent to the exclusive jurisdiction of those courts, except where consumer protection law provides otherwise.

If you are a consumer under the New Zealand Consumer Guarantees Act 1993, nothing in these Terms limits any rights you may have under that Act or other non-excludable law.

12. Changes to these Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

13. Contact

If you have questions about these Terms, you can contact us through our Contact page.
